Terms of Service

By visiting www.ascent-elite.org, creating an account, submitting a purchase, or downloading any material from the Service, you accept these Terms. If you do not agree to any part of these Terms, do not use the Service.

You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account or purchase any products from the Service. If you are purchasing on behalf of an employer or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Ascent Elite sells a digital education product: "The AI Systems Architect Playbook" (the "Course"), including slide decks (PPTX/PDF), strategy templates (XLSX/ZIP), video recordings (when unlocked), and associated written materials. The Service also includes the public-facing website, in-browser previews, user library, authenticated downloads, payment processing, and customer support.

The Course is delivered digitally. No physical products will be shipped. Access is granted upon successful payment and the creation or identification of your user account.

Subject to your compliance with these Terms and full payment of any applicable fees, Ascent Elite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, store, view, display, print (for personal internal use), and reference the purchased Course materials for your own internal professional development, internal team planning, and architecture review purposes.

You may not: (a) resell, rent, lease, lend, distribute, publish, broadcast, or publicly perform any Course materials; (b) create derivative courses, coaching programs, training curricula, or certification materials that incorporate a substantial portion of the Course slides, frameworks, diagrams, or structure; (c) upload, share, or mirror Course files to public file-sharing services, torrent networks, open course platforms, or competitor web sites; (d) remove, alter, or obscure any copyright, trademark, or proprietary notices in the materials; or (e) scrape, crawl, or reverse-engineer any part of the website or digital delivery infrastructure.

All payments for the Service are processed by our Merchant of Record, Paddle, on our behalf. When you purchase a product, your contract for payment, invoicing, VAT/GST/sales tax collection, and any payment-related dispute is with Paddle. Your purchase is subject to:

• Paddle Terms of Service
• Paddle Privacy Policy
• Any applicable taxes, duties, or currency conversion charges calculated and charged by Paddle at checkout.

Prices on the Service may change without notice. Any such change will not affect purchases already completed and paid for.

Digital purchases are covered by our Refund Policy, which forms part of these Terms. In summary, you may request a full refund within 14 calendar days of purchase by contacting support, provided you have not already downloaded all of the paid Tier 3 deliverables or requested a refund on a previous purchase of the same product.

If you initiate a chargeback or payment dispute with your card issuer outside of this policy, we reserve the right to suspend or terminate your account, revoke your access to the Course materials, and re-present valid charges where permitted.

When using the Service you will not: (a) violate any applicable local, state, national, or international law or regulation; (b) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; (c) submit false, misleading, or inaccurate information when signing up, purchasing, or contacting support; (d) attempt to probe, scan, or test the vulnerability of any system or network; or (e) interfere with, disrupt, or attempt to disrupt access to the Service for other users.

Access to paid downloads is gated by an account authenticated through Supabase Auth. You are responsible for: (a) maintaining the confidentiality of your login credentials and any access tokens; (b) all activity that occurs under your account; and (c) notifying us immediately of any unauthorized use of your account. We reserve the right to disable any account at our sole discretion if it is used to violate these Terms.

As between you and Ascent Elite: (a) Ascent Elite retains all right, title, and interest in and to the Course content, slide decks, frameworks, diagrams, templates, recordings, text, videos, graphics, logos (including the Ascent Elite brand marks), software, and the "look and feel" of the Service; (b) you retain all right, title, and interest in any materials you submit to us (for example, support emails), and you grant us a limited license to process, store, and use those materials solely to provide and improve the Service.

The Ascent Elite name and logo, "The AI Systems Architect Playbook" product name, and any other product or service names or slogans referenced on the Service are the trademarks or registered trademarks of Ascent Elite or their respective owners.

THE SERVICE AND COURSE MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Nothing in the Course constitutes legal, financial, tax, medical, investment, or other professional advice. The frameworks, templates, and examples are educational and illustrative only. You remain solely responsible for the architecture decisions, vendor selections, security posture, and cost outcomes of any systems you design or operate.

We do not warrant that (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the Service will be accurate or reliable; or (c) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASCENT ELITE, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, PARTNERS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT WILL ASCENT ELITE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICE EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO ASCENT ELITE (VIA PADDLE) IN THE 90 DAYS PRECEDING THE FIRST EVENT GIVING RISE TO THE LIABILITY.

You agree to defend, indemnify, and hold harmless Ascent Elite, its officers, directors, employees, contractors, partners, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service in violation of these Terms; (b) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (c) any of your User Content that is claimed to have caused damage to a third party.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, at our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions which, by their nature, should survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability, shall survive termination.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms.

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Ascent Elite is registered and operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in full force and effect.

Any dispute arising from or relating to these Terms or the Service will first be resolved through good-faith informal negotiation for a period of 30 days after written notice from one party to the other. If not resolved within that period, either party may submit the dispute to binding small-claims or standard courts of competent jurisdiction.
